1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of Matic's suite of business productivity applications ("Services"), operated by Matic Services ("Matic", "we", "us", "our").

By creating an account or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use our Services.

2. Definitions

  • "Account" — Your registered Matic account
  • "User" — Any individual accessing the Services through your Account
  • "End User" — Your customers whose data you upload to our Services
  • "Subscription" — Your paid plan for accessing specific Services
  • "Content" — Any data, text, files, or information uploaded to the Services

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be capable of forming a binding contract
  • Not be prohibited from using the Services under applicable law
  • Provide accurate and complete registration information

Business accounts must be registered by an authorized representative of the business.

4. Account Registration and Security

4.1 Account Creation

You must provide accurate, current, and complete information during registration. You agree to update this information to keep it accurate.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your Account
  • Notifying us immediately of any unauthorized access

We are not liable for any loss arising from unauthorized use of your Account.

4.3 Account Sharing

Accounts are for single business use. You may add authorized users as permitted by your Subscription plan. Sharing credentials across multiple businesses is prohibited.

5. Services

5.1 Service Description

Matic provides a suite of micro-SaaS tools to help businesses operate more efficiently. Services currently include:

  • Matic Booking — Appointment scheduling and automated reminders via WhatsApp/SMS

Additional services may be added and will be subject to these Terms and any service-specific terms.

5.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any Service (or features within a Service) at any time. We will provide reasonable notice for material changes affecting your Subscription.

5.3 Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. Services may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible)
  • Emergency maintenance or security updates
  • Circumstances beyond our reasonable control

6. Subscriptions and Payment

6.1 Plans and Pricing

Services are offered on a subscription basis. Current pricing is available on our website. Prices are quoted in Malaysian Ringgit (MYR) unless otherwise stated.

6.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due upon invoice
  • All fees are non-refundable except as expressly stated in these Terms

6.3 Payment Methods

We accept payment via credit card, debit card, and online banking. You authorize us to charge your selected payment method for all fees due.

6.4 Late Payment

If payment is not received within 14 days of the due date, we may:

  • Suspend access to your Account
  • Charge late payment fees of 1.5% per month
  • Terminate your Subscription

6.5 Price Changes

We may change pricing with 30 days' notice. Price changes take effect at your next billing cycle. Continued use after a price change constitutes acceptance.

6.6 Taxes

Fees are exclusive of applicable taxes. You are responsible for any sales tax, service tax (SST), or other taxes applicable to your Subscription.

7. Acceptable Use

7.1 You agree to:

  • Use the Services only for lawful business purposes
  • Comply with all applicable laws and regulations
  • Obtain appropriate consent before uploading End User data
  • Keep your Account information accurate and current

7.2 You agree NOT to:

  • Use the Services to send spam or unsolicited messages
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble the Services
  • Resell or sublicense access to the Services without authorization
  • Use the Services in any way that could damage our reputation
  • Violate any applicable anti-spam laws (including Malaysia's Communications and Multimedia Act 1998)
  • Upload content that infringes intellectual property rights
  • Harass, abuse, or harm others through the Services

7.3 Messaging Compliance (Matic Booking)

When using messaging features, you must:

  • Only send messages to individuals who have consented to receive them
  • Honor opt-out requests promptly
  • Comply with WhatsApp Business Policy and applicable messaging regulations
  • Not send messages containing prohibited content (spam, scams, illegal content)

Warning: Violation of messaging policies may result in immediate suspension.

8. Your Content and Data

8.1 Ownership

You retain ownership of all Content you upload to the Services. We do not claim ownership of your data.

8.2 License to Matic

You grant Matic a limited license to use, process, and store your Content solely to provide the Services. This license terminates when you delete your Content or close your Account.

8.3 Your Responsibilities

You are solely responsible for:

  • The accuracy and legality of your Content
  • Obtaining consent from End Users before uploading their data
  • Backing up your Content
  • Ensuring your use of the Services complies with applicable laws

8.4 End User Data

When you upload End User data (e.g., customer contact information), you represent that:

  • You have obtained appropriate consent from those individuals
  • You have provided them with adequate privacy notices
  • You will respond to their data access or deletion requests
  • Your use of their data complies with applicable data protection laws

9. Intellectual Property

9.1 Matic IP

The Services, including all software, designs, logos, and documentation, are owned by Matic and protected by intellectual property laws. These Terms do not grant you any ownership rights.

9.2 Feedback

If you provide suggestions, ideas, or feedback about our Services, you grant us the right to use such feedback without restriction or compensation.

9.3 Trademarks

"Matic" and associated logos are trademarks of Matic. You may not use our trademarks without prior written consent.

10. Third-Party Services

10.1 Integrations

Our Services may integrate with third-party platforms (e.g., WhatsApp, payment processors). Your use of these integrations is subject to the third party's terms and policies.

10.2 Third-Party Links

The Services may contain links to third-party websites. We are not responsible for their content or practices.

11. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Services, you consent to our data practices as described in the Privacy Policy.

We comply with the Malaysian Personal Data Protection Act 2010 (PDPA) and applicable data protection laws.

12. Limitation of Liability

12.1 Service Provided "As Is"

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

12.2 Limitation

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss of profits, revenue, data, or business opportunities
  • Our total liability for any claim arising from these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim

12.3 Exceptions

These limitations do not apply to liability that cannot be excluded by law or to breaches of confidentiality obligations.

13. Indemnification

You agree to indemnify and hold harmless Matic, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or End User data
  • Any claim by an End User related to your use of the Services

14. Termination

14.1 Termination by You

You may cancel your Subscription at any time through your Account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

14.2 Termination by Matic

We may suspend or terminate your access if:

  • You breach these Terms
  • You fail to pay fees when due
  • We are required to do so by law
  • We discontinue the Services

For material breaches, we will provide 7 days' notice to cure (where curable) before termination, except for violations requiring immediate action (e.g., illegal activity, security threats).

14.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • We may delete your Content after 30 days (you may request export before termination)
  • Accrued payment obligations remain due
  • Provisions that should survive termination (e.g., liability, indemnification) will remain in effect

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Malaysia.

15.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.

15.3 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

16. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Services at least 30 days before they take effect.

Continued use of the Services after changes take effect constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Services and cancel your Subscription.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement between you and Matic.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

17.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

Notices to you will be sent to the email address associated with your Account. Notices to us should be sent to legal@matic.my.
